(“Miiyia”, “we”, “us”, or “our”), the operator of the Miiyia platform available at miiyia.com (the “Service”). Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, Data Protection & Security Policy, and Acceptable Use Policy, each of which is incorporated into these Terms by reference.

By creating an account, authorizing Miiyia to access your Amazon data, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity. If you do not agree to these Terms, you must not access or use the Service.

Miiyia is a software-as-a-service (SaaS) analytics and operations platform designed to help Amazon sellers manage and understand their business. The Service consolidates orders, inventory, profitability, financial events, advertising performance, and related information into a unified workspace, together with dashboards, reports, and alerts. Miiyia integrates with your Amazon seller account exclusively through Amazon’s official, authorized application programming interfaces, including the Amazon Selling Partner API (SP-API) and the Amazon Advertising API. We do not scrape Amazon web pages and we do not request or store your Seller Central password.

To use the Service you must be at least 18 years old and capable of forming a legally binding contract. You agree to provide accurate, current, and complete information when registering and to keep that information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly at support@miiyia.com of any unauthorized use of your account or any other breach of security.

The Service requires access to data associated with your Amazon seller account. You grant Miiyia permission to access that data by completing Amazon’s secure OAuth authorization flow (Login with Amazon) and, where applicable, the Amazon Advertising authorization flow. By granting this authorization, you represent and warrant that you own, or are otherwise duly authorized to act on behalf of the owner of, the Amazon seller account(s) you connect, and that your authorization does not violate any agreement between you and Amazon.

By default, Miiyia requests read-only access and uses only the minimum API scopes necessary to provide the features you have enabled. We access your Amazon data solely to provide the Service to you, as further described in our Privacy Policy and Acceptable Use Policy. You may revoke Miiyia’s access at any time from within Amazon Seller Central or by contacting us; revoking access will disable features that depend on that data.

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms. Among other things, you agree not to misuse the Service or any Amazon data accessed through it, not to attempt to gain unauthorized access to any part of the Service, not to interfere with or disrupt the Service, and not to use the Service in violation of any applicable law or any agreement you have with Amazon. We may investigate and take appropriate action against any suspected violation, including suspending or terminating your access.

Certain features of the Service are offered on a paid subscription basis. The fees, billing frequency, and features applicable to your plan are presented at the time of purchase. Unless otherwise stated, subscriptions renew automatically for successive periods at the then-current rates until cancelled. You authorize us (and our payment processors) to charge your designated payment method for all applicable fees. Except as required by law or expressly stated, fees are non-refundable. We may offer free trials or promotional plans; unless cancelled before the trial ends, the subscription may convert to a paid plan. We may change our fees on prospective renewal terms with reasonable prior notice.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We retain all rights not expressly granted. You retain all rights in your own data, including the Amazon data you authorize us to access; you grant us a limited license to process that data solely to provide and improve the Service as permitted by these Terms and our Privacy Policy. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works from the Service except as permitted by law.

We are not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or any of its affiliates. “Amazon”, “Amazon Advertising”, “Selling Partner API”, and related marks are trademarks of Amazon.com, Inc. or its affiliates. Your access to and use of Amazon data through the Service is subject to Amazon’s applicable agreements and policies, including the Amazon Selling Partner API Developer Agreement, the Amazon Acceptable Use Policy, and the Amazon Data Protection Policy. You are responsible for complying with all such Amazon agreements and policies as they apply to you. The Service may also rely on other third-party services; your use of those services may be subject to their own terms, and we are not responsible for third-party services beyond our reasonable control.

To the maximum extent permitted by law, Miiyia’s total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total fees you paid to Miiyia for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). These limitations form an essential basis of the bargain between you and Miiyia.

You agree to defend, indemnify, and hold harmless Miiyia and its affiliates and their respective officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or any applicable law; (c) your violation of any agreement or policy of Amazon, including the Amazon Acceptable Use Policy or Amazon Data Protection Policy; or (d) your representation that you are authorized to grant access to any Amazon account you connect.

You may stop using the Service and terminate your account at any time, including by revoking Miiyia’s authorization from Amazon Seller Central and contacting us at support@miiyia.com. We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required to comply with law or an Amazon policy, or to protect the security or integrity of the Service. Upon termination, your right to use the Service ends, and we will handle any remaining data in accordance with our Privacy Policy and Data Protection & Security Policy. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

We may update these Terms from time to time. If you do not agree to the revised Terms, you must stop using the Service.

Subject to any applicable mandatory law, you and Miiyia agree that the people's court with jurisdiction at Miiyia's domicile in Dongguan, Guangdong, China will have jurisdiction over any dispute arising out of or relating to these Terms or the Service. The parties will first attempt in good faith to resolve any dispute informally by contacting one another before initiating formal proceedings. Nothing in this section prevents either party from seeking injunctive or equitable relief to protect its intellectual property or confidential information.
